Metaplanet has introduced BitBonds, its innovative continuous bond issuance program. This new initiative marks a significant step with the completion of the first private debt sale. The initial offering includes four series of unsecured senior bonds, collectively valued at approximately 200 million yen, equivalent to $1.3 million. These bonds will serve as a key funding mechanism for Metaplanet, highlighting its strategic move in the financial markets.
The bonds issued through Metaplanet’s BitBonds program are characterized as unsecured senior bonds with a maturity period of approximately three years. These bonds offer an annual interest rate ranging from 4% to 4.3%. Being unsecured, unrated, and not protected against loss of principal, these bonds involve a higher risk. Additionally, they come with transfer restrictions that limit their circulation, and investors should be aware that liquidity is not assured before maturity. This offering was part of a private sale that aims to facilitate Metaplanet’s presence in the market, aligning with Japan’s small-number private placement regulations.
BitBonds will sit alongside common stock, equity-linked securities and preferred shares as a core funding channel for Metaplanet. Future issuances through BitBonds will depend on funding needs, market conditions and investor demand, and Metaplanet indicated there could eventually be a move to registered public offerings.

Solicitation for BitBonds began in late July and closed as of the Aug. 13 disclosure; the first sale comprised four privately placed series valued at about 200 million yen ($1.3 million).
Metaplanet therefore added BitBonds to its set of financing instruments while stating that any future issuance will be contingent on the funding and market factors already described. BitBonds will operate as a component of Metaplanet’s broader capital structure.

Metaplanet shares closed 0.9% higher at 223 yen ($1.40) on Thursday. The issuer’s financial position remains heavily exposed to bitcoin price swings.
Metaplanet’s BitBonds private debt sale represents the company’s initial bond issuance under the program and is incorporated into its broader funding mix alongside common stock, equity-linked securities and preferred shares. Metaplanet positioned the issuance as a core funding channel, noting that future use of BitBonds will depend on funding needs, market conditions and investor demand and may in time transition to registered public offerings.
